Terms of Service

1. Acceptance of Terms
By accessing or using the Worder platform ("Service"), operated by Worder LLC ("Worder," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the revised Terms.
2. Description of Service
Worder is a marketplace that connects voice actors with buyers seeking AI-generated speech. Voice actors upload voice samples, create voices, and set pricing. Buyers purchase access to voices and generate speech using AI voice cloning technology. Worder facilitates these transactions but does not itself create, own, or control the voices listed on the platform.
3. Account Registration
You must create an account to use certain features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity under your account. Worder reserves the right to suspend or terminate accounts that violate these Terms.
4. Voice Actor License Grant
By uploading voice samples, verification recordings, voice content, or any other materials to the Service ("Voice Content"), you grant Worder LLC a perpetual, worldwide, irrevocable, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works of your Voice Content for the following purposes:
- Facilitating AI voice cloning and speech generation for buyers on the platform
- Marketing, advertising, and promotional materials for Worder and the Service
- Demonstrating, showcasing, or previewing voices on the platform and in external media
- Improving, developing, and maintaining the Service and its technology
- Creating sample content, case studies, and portfolio materials
- Any other lawful purpose reasonably related to the operation and promotion of the Service
This license survives termination of your account. You represent and warrant that you have the right to grant this license, that your Voice Content does not infringe any third party's rights, and that you are the rightful owner of the voice represented in your uploads.
5. Voice Verification and Authenticity
Voice actors must complete a verification process, including recording a video of themselves speaking a designated phrase. You represent and warrant that all voice samples you upload are recordings of your own voice and that you have not uploaded voice samples belonging to another person. Uploading voice samples that do not belong to you, or misrepresenting the identity of a voice, is a material breach of these Terms and may result in immediate account termination, forfeiture of earnings, and legal action.
6. Voice Data Usage
Worder itself does not use voice samples uploaded to the platform to train, fine-tune, or improve any AI models. Voice data is stored securely and used only for the purpose of on-demand speech generation (voice cloning) for paying customers.
Important disclaimer: Worder cannot control, monitor, or restrict how buyers use the generated speech output after it has been downloaded. While buyers are prohibited under these Terms from using generated speech to train, fine-tune, or improve AI models (see Section 8), Worder makes no guarantee that all buyers will comply with this restriction. Voice actors acknowledge this limitation when uploading their voice samples to the platform.
7. Pricing, Fees, and Payments
Voice actors set their own prices for their voices. Worder retains approximately 10% or less of each transaction, which includes:
- A 2% platform fee for Worder
- Credit card processing fees (charged by Stripe)
- AI generation compute costs
- File hosting and storage fees
All fees are transparently itemized. Worder reserves the right to modify fee structures with 30 days' notice. Payments to voice actors are processed via Stripe and are subject to Stripe's terms of service.
8. Buyer Rights and Obligations
Permitted uses: Buyers may use generated speech for any lawful purpose, including but not limited to commercial projects, personal projects, content creation, broadcasting, advertising, education, entertainment, and any other lawful application. The license to use generated speech is perpetual and worldwide, subject to the restrictions below.
Prohibited uses: You may not use generated speech to:
- Train, fine-tune, or improve any AI or machine learning models
- Build datasets for AI training purposes
- Engage in any illegal activity
- Impersonate any person or create misleading or fraudulent content
- Engage in harassment, defamation, or hate speech
- Create deepfake content intended to deceive
- Violate any applicable law or regulation
Worder reserves the right to suspend or terminate buyer accounts that violate these obligations.
9. Prohibited Uses
You may not use the Service to:
- Upload, generate, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Impersonate any person or entity, or falsely state or misrepresent your identity
- Upload voice samples that do not belong to you or that you do not have rights to
- Attempt to reverse-engineer, decompile, or extract the AI models or algorithms used by the Service
- Scrape, crawl, or otherwise collect data from the Service without authorization
- Interfere with or disrupt the Service or servers connected to the Service
- Circumvent any security features, access controls, or usage limits
- Use the Service to generate content that violates any person's rights, including intellectual property, privacy, or publicity rights
10. Intellectual Property
The Service, including its design, code, features, and branding, is owned by Worder LLC and protected by copyright, trademark, and other intellectual property laws. Voice actors retain ownership of their original voice recordings, subject to the license granted in Section 4. Buyers receive a limited, non-exclusive license to use generated speech for their stated purposes, subject to the restrictions in Section 8.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WORDER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WORDER DOES NOT GUARANTEE THE QUALITY, ACCURACY, OR AUTHENTICITY OF ANY VOICE CONTENT OR GENERATED SPEECH.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORDER LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. WORDER'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WORDER IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
13. Indemnification
You agree to indemnify, defend, and hold harmless Worder LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third party's rights, or (d) any content you upload to or generate through the Service.
14. DMCA and Copyright Complaints
Worder respects intellectual property rights. If you believe content on the Service infringes your copyright, please submit a DMCA notice to legal@worder.com with identification of the copyrighted work, the infringing material, your contact information, and a statement of good faith belief and accuracy under penalty of perjury.
15. Termination
Worder may suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. The license granted in Section 4 (Voice Actor License Grant) and all provisions that by their nature should survive termination shall survive, including but not limited to Sections 4, 6, 10, 11, 12, 13, and 16.
16. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association, with arbitration conducted in the State of Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.
17. Miscellaneous
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in effect. Worder's failure to enforce any right or provision shall not be deemed a waiver. These Terms constitute the entire agreement between you and Worder regarding the Service and supersede all prior agreements.
